Perhaps you are correct regarding Mr. Baroni & his company.

However, if you google Baroni Management Company LLC, you'll find that PTSC was anything but "stealth" about the hire. And even considering your logic, telling an investor (owner of the company) that the newly hired company is registered in DE, rather than MD, simple similar public informatoin that PTSC provides about themselves with SEC each filing, wouldn't seem to contradict your poin, IMO. Rather, it simply implies either ignorance of the fact, or an unwillingness to clarify even the most basic information for shareholders about their activities.

For me it is an issue of transparency and responsibility to the owners of the company. Obviously, you and others disagree with me on this issue, which is fine, and at this point is not worth discussing further, IMO.
