Yep, the new Gov't fiscal year begins 1 Oct. New funding becomes available for authorized contracts.
This is good news this morning (last night) and, as I alluded in the past, this merger is in reality a buy out (and is stated as such).
IMO, there are many things to ponder about this acquisition. There are the more obvious things already discussed to a degree, but also some more subtle things dancing in my pea brain.
Cash and stock.... This may suggest many things, IMO. Examples:
Cash and stock. $10M ain't that much money, and with the licensing that's occured since the last financial reporting (including the Feb licensees not reported), it seems to me there was no need to include stock in this transaction. Even if there was little that came from all that licensing, they could have leveraged other assets to make up the difference (and I do recognize that PTSC has made other moves, as reported yesterday, that ate some cash).
Cash and stock valued at $10M TODAY. I'm suspecting the true value of the acquisition includes stock because of high confidence in the PTO reviews. In other words, the true (perceived) value is far greater than $10M. Conversely (to support this suggestion), if this weren't the case, why would stock be considered as a "reliable" asset? However, we don't KNOW just how much stock is involved. But I think the proposition holds water - there must be a belief that the stock will be worth more tomorrow (figureatively) than it is today.
BTW, with deeper thoughts (which I won't elaborate - if you think, they are somewhat obvious), the inclusion of stock in this transaction, and the need to, further supports my ongoing fantasy/delusions regarding the PTO Contingency Theory. Yes, I KNOW, the company said there are no such contingencies in play. And how would you expect them to respond if there were? A "yes" would have let the cat out of the bag. And, IMO, a "no comment" would have done likewise. In my delusions, there are at least 5 recent licensees who licensed on this basis, plus the J2.5. To be absolutely clear, these are my delusions, and IMO I'm free to entertain any fantasies I wish. No need to argue about it. And it's probably not worthy of full discussion (no need for clutter).
