I've always read that as a merger without TPL assisting.

There is two types of mergers:

1. PTSC does a merger all by itself. Which it's trying do as we speak.

2. A merger where PTSC & TPL act together to acquire a company.

I think #2 will never happen.

As I've said before TPL merging with PTSC would not make any sense for PTSC.
