actually I don't know what they did out of the ordinary that initiated the bonuses but regardless they pocketed the money already...maybe they had a few extra board meetings that year than normal.

Even if they sought guidance from outside counsel, IMO they are still inevitably responsible for the decisions that are made while they are serving on the board. Were is the accountability?
