They've offerred options to RG subject to accomplishing some objectives.  Those option shares have to be registered - and this does it.  The options have NOT been granted, yet.  And the strike price is 58 cents.

The bit you bolded, with the par price of .00001, is what these shares cost the Company and has nothing to do with what RG will have to pay.
