Someone can please correct me if I'm wrong, but I beleive that PTSC actually has only the 19M or so shares held in treasury to use right this minute for M&A. To access the other 90M authorized shares, I believe they have to file additional SEC filings to register those shares. So it may not be as easy to say they have 110M shares they can use.

You are correct, all it would take is the ok from the BOD, and the filing to SEC. There is no approval from the SEC or anyone outside the company needed in that decision.
