An agreement by parties cannot override existing law. It's not their call....

The question remains whether the NDA is in compliance with the regs. I believe it must be.

Think of this - JW must have a clue, and assuming he read/approved the entire agreement, he wouldn't have permitted inclusion of a provision that violates SEC reporting regs.
