Why no 8-K for the NEC deal

Why no 8-K for the NEC deal

I find it interesting that there was no 8-K issued for the NEC deal. My only conclusion from that is that particular "business resloution" was much smaller in scale that the Mastsu & Tosh "business resolutions". Anybody think there are any other legitimate reasons for no 8-K on that deal as well?
