It is not uncommon to have companies that are for sale.......move to settle unknown or uncertain large liabilities.......BEFORE they can be sold.  No buyer wants to inherit an unknown large liability.

 This actually happened to a former spinal implant company I worked for in the 90's.  A $100M liability with FDA was settled so the company could be sold.
