Wondering re S&L & PTSC Share Purchases

It seems to me that if PTSC had a policy of buying back shares, and it's clear the S&L decided to sell shares, then it would've been in EVERYONE's best interest for PTSC to have negotiated purchasing shares that S&L wanted to sell, rather than allowing them to liquidate shares on the open market.  While PTSC would've ended up paying a tad more, it seems to me that it would've been a win-win to negotiate a purchase directly with S&L.  This would've created price support in the market by eliminating the S&L shares from hitting the market and being able to drive the share price down.

Just a quick thought to try and float that idea to see that is logical and correct thinking.  If so, any thought as to why PTSC wouldn't have done that in addition to the warrant buy back.  If not, please poke holes in it for me.  Thanks.
