2. This is just semantics.
3. Your point is well taken. Intuitively it strikes me as kind of ludicrous that this is the case. To take the concept to its logical absurdity- I - as the CEO of Behemoth Corporation- could get Ma & Pa Supplier Corp to indemnify me as I crank out widgets covered by patents owned by another entity and Behemoth could do so with zero commercial responsibility. I just can`t get my mind around that. It would be happening all over the place if that were the case.
