I have checked UC's position numerous times. They are in great shape with their agreements and only need to spend about 3 million more to solidity their 55% arrangement.
They just raised the money to do this (see below) so if there is some other legal problem = I could use clarification.

UC Resources Ltd.: Vancouver, British Columbia: Trading Symbol: TSXV:UC. UC Resources Ltd. ("UC" or "the Company") is pleased to announce that it closed the strategic $4.1 million brokered financing with PowerOne Capital Markets Limited, and its key finance partners.
Further to the companies news release of October 18th:
The private placement consisted of 5,777,777 non-flow-through units at $0.45 and 3,000,000 flow-through units at $.50. Each unit consists of one common share of the Company and one-half of one common share purchase warrant. Each whole warrant entitles the purchaser to purchase one additional share at .70 cents per share for a period of two years.
