OPC, I agree with your post. The $5 billion valuation under method III is based on a sale, so this is a floor for the price. I don't care if the valuation can be higher; I am mostly concerned with how the valuation can be lower.

I thought that under a sale, the NOL carry forward could be preserved if it is structured correctly.
