a Brokered Private Placement announced August 31, 2007:

Number of Shares: 5,000,000 flow through shares

Purchase Price: $0.10 per flow through share

Warrants: 5,000,000 non flow-through share purchase
warrants to purchase 5,000,000 non flow-through
shares

Warrant Exercise Price: $0.12 for a two year period

Number of Placees: 4 placees

Agent's Fee: 450,000 common shares and 500,000 broker
warrants payable to IBK Capital Corporation.
Each broker warrant is exercisable into one
common share at a price of $0.10 for a period of
two years.
