KWG Resources 2.2-million-share private placement

The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on April 21, 2014, and 23, 2014.

Number of shares: 2.2 million flow-through common shares

Purchase price: 10 cents per flow-through common share

Warrants: 2.1 million common share purchase warrants to purchase 2.2 million common shares

Warrant exercise price: 15 cents per common share during the two years following the closing of the private placement

Insiders: Frank Smeenk, 800,000; Maurice Lavigne, 800,000; Bruce Hodgman, 400,000

The company shall confirm the closing of the above-mentioned private placement by way of a news release.

This must be a good sign when insiders are buying shares at 10 cents
