KWG share count as of 13 Nov 2011 (updated 14 Nov AM)

SH and AGO folks, Here it is, the latest info on KWG share count

(a) Total count: 75 posters (out of 6000+ small shareholders),

59.633 M shares, or 7% fully diluted w/o the 4M wts (853 M shares assumed.

63.633 M shares, or 7.46% FD with the 4M wts exercised (ref #75 on list).

Note: 10+% would block the compulsory tendering proceeding.

- Block 1 (our share count) + Block 2a (Management + BOD shares) = 7 + 2.1 = 9.1% ( short of 10%, w/o wts)

= 7.46 + 2.1 = 9.5% (still short, with wts)

- Block 1 + Block 2b (all Management & BOD options wts exercised) = 7 + 8.4 = 15.4%, or 15.86% with 4M wts

- CLF: 17.4% (could be 19.9% if options were exercised, confirmation needed).

- KWG has bought back some share for cancellation, but this would not change the % in term of relative ranking.

(b) Institutions: See note 5 at the end (links were provided by “fightiam” and “binvue1” from another SH board…thanks for those!). It would appear that the shares are widely held by some 6000 shareholders.

Goal for our share count: 10%, or at least 8% (+ 2.1% from management, = 10.1%, assuming no exercise of options and wts from management. As indicated above, our block is now at 7.46% (a significant jump thanks to the contribution from AGO and SH folks during the last few days. To get to the 8% level, we need 8 – 7.00 = 1.0 x 8.53M = 8.53 M shares….only 1% to reach a critical level of 10%, folks.

It would be good if someone living in the Toronto (or Montreal) area contact KWG, by phone or in person, to make them aware of the share count, and to have some of the information (e.g. management shares, options, and wts confirmed. Any volunteers?

5. Institutions: A quick check using the websites did not reveal any major institutional shareholders. The websites (which were kindly provided by posters “fightiam” and “binvue1 from another SH board”) are shown below for those who want to dig a bit deeper.
