"Is there a conflict of interest? from other board"
Seating on the BoD of two (near or far) related entities is not, per se, a conflict of interest, and if it was such, one can imagine there would be near to none impartial boards in the world! Just browse though the members list of say, the RoF involved companies, and like in the jazz world, you will see many names repeated everywhere, albeit often in a different position...
The problem only arises when a decision is about to be made regarding something that may be - or appear to be - conflicting between the interest of the Company and the interest of the Director (or of the other company in which the Director has an interest). Then, a few thing can happen: an abstention, a resignation, but in all case, a carefull Director will be advised to disclose its interests in writing to its new Board.
