The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Nov. 15, 2010, and Nov. 19, 2010.

Number of shares: 23,076,923 flow-through common shares

Purchase price: 13 cents per flow-through common share

Insiders: Rene Galipeau, 128,423; Thomas E. Masters, 120,000

Finders' fees: An amount of $51,659 cash has been paid to finders, as well as 480,480 common shares.

The company has confirmed the closing of the above-mentioned private placement by way of a news release dated Feb. 1, 2011.
