From what I understand it was the two companies that requested the halt, and at the same time Cliffs is being asked to explain the tight timing of the resignation and subsequent offer.

It would appear that both juniors were completely unprepared for this and were caught off guard.

I would guess they are furious and will be strongly advocating a no vote to shareholders........(obviously!).

This will become a hostile and messy war. There is DEFINITELY more money on the table here. We need to back management if this is the course they suggest.
