NOTICE OF ANNUAL AND SPECIAL MEETING OF SHAREHOLDERS

NOTICE IS HEREBY GIVEN that the Annual and Special Meeting of Shareholders (the “Meeting”) of KWG
RESOURCES INC. (the “Company”), for the year ended December 31, 2009, will be held on Wednesday, May 19, 2010 at 10:00 a.m. (local time), at Saint-James Club of Montreal, 1145 Union Avenue, Montreal, Québec, for the following purposes:
(a) TO receive the audited consolidated financial statements of the Company for the years ended December 31, 2009 and 2008 and the auditors’ report thereon;
(b) TO elect directors of the Company;
(c) TO appoint the auditors of the Company and to authorize the directors to fix their remuneration;
(d) TO consider, and if deemed advisable, approve a special resolution to convert the Stock Option Plan of the Company to a rolling stock option plan; and
(e) TO transact such other business as may properly be brought before the Meeting, or any adjournment thereof.

The Proxy Circular of the Company and a Proxy Form for the Meeting are enclosed herewith.
