The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Jan. 19, 2015.

Number of shares: 4,055,000 shares

Purchase price: Seven cents per share

Warrants: 4,055,000 share purchase warrants to purchase 4,055,000 shares

Warrant initial exercise price: 10 cents

Warrant term to expiry: Two years

Number of placees: 11 placees

Finders' fees: Navigator Capital Partners (Kyle de Jong), 60,000 shares and 60,000 warrants; T-Bone Ventures Inc. (Georgia Knight), $1,050 cash

Finder warrant initial exercise price: 10 cents

Finder warrant term to expiry: Two years (same as private placement subscribers) (10 cents in first year and 14 cents in the second year)

Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
