The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced May 11, 2016.

Number of shares: 2.4 million shares

Purchase price: five cents per share

Warrants: 2.4 million share purchase warrants to purchase 2.4 million shares

Warrant exercise price: 10 cents for a one-year period; 15 cents in the second year

Number of placees: 11 placees

Finders' fees: $4,000 payable to Greg Shafransky; 24,000 warrants issuable to PI Financial Corp., exercisable on the same terms as above
