The TSX Venture Exchange has accepted for filing documentation with respect to the first tranche of a non-brokered private placement announced July 15, 2013.

Number of shares: 400,000 shares

Purchase price: Eight cents per share

Warrants: 400,000 share purchase warrants to purchase 400,000 shares

Warrant exercise price: 10 cents for a one-year period and 12 cents in the second year

Number of placees: Four placees

Insider: James H. Place, 50,000

Finder's fee: $960 payable to 360 Aviation Services Inc. (Pamela Smith-Gander)
