TORONTO, ONTARIO -- (Marketwire) -- 07/20/09 -- Denison Mines Corp.(TSX: DML) (NYSE Amex: DNN) ("Denison" or the "Company") announcedtoday that its board of directors has met to consider the July 15, 2009acquisition proposal (the "Hathor Proposal") that Northern ContinentalResources Inc. ("Northern") received from Hathor Exploration Limited("Hathor") pursuant to which Hathor would acquire all of the issued andoutstanding shares of Northern. On July 15, 2009 Northern advised theCompany that its board of directors had determined that the HathorProposal constituted a Superior Proposal. Accordingly, pursuant to theJune 5, 2009 Arrangement Agreement made between the Company andNorthern, the Company was advised that it had three business days,ending July 20, 2009 at 5:00 p.m. (PDT), to amend the ArrangementAgreement so as to match the Hathor Proposal.



Denison's board has determined that it will not amend the ArrangementAgreement so as to match the Hathor proposal and therefore it will notincrease or modify the number of Denison Shares that it proposes tooffer to the Northern shareholders pursuant to the ArrangementAgreement. Denison has requested, as permitted by the ArrangementAgreement, that the Northern board reaffirm its approval andrecommendation of the Arrangement with Denison and the transactionscontemplated by the Arrangement. If the Northern board fails to do sowithin 5 business days, Denison will be entitled to terminate theArrangement Agreement.
