I find the tax structuring of the merger rather odd since most of the shares are owned by small retail shareholders thus forcing a large number of these folks - like myself - into selling shares to pay for the Capital Gains tax. I still believe this portion of the agreement is greatly flawed, accounts for the large part of the selling we've seen, and has only helped the shorts succeed in their shenanigans to drive down the SP since the proposed merger announcement. Lots of little guys get screwed in this regard to the advantage of the few well-heeled who can take advantage of structured tax-shelters - corporate-based or otherwise - to avoid this penalty. I've been through a few takeovers in recent years and in all cases shares are exchanged without incurring any tax penalty, allowing the little guy to keep deferring Capital gains indefinitely. Perhaps I'm naive or just plain ill-informed but surely some smart lawyer could have arranged the merger in some way to avoid taxing the little guy. Perhaps the only alternative was the flipside - tax the few not the many ........ wouldn't want *that* to happen now hmmmm.
