I got my fingers slapped last week for getting personal in a post, so my chastising anyone is way to hypocritical.

You all know what I'm supposed to say as a hub leader, so I'll save you the blather...........Please stop.

Last I heard Frank and his family own close to 10 million shares. I can see that any CEO who is paid in Salary and stock options may have to sell stock several times a year to take care of general living expenses that are beyond his salary. This is rarely at an opportune time, but when you need cash you don't always need it when it suits other people.

Just as a matter of record, I was recently in a position where i would have had to declare insider status with another stock holding. It wasn't that I knew anything, it was merely because I had warrants that put me dangerously close to owning more than 10% of the company. I didn't want to make declarations as I intended to sell within a few weeks to bring me below the 10% threshold. I asked my securities solicitor what the ramifications were. This is his answer:

-"If the regulator discovered the omission to file they would fine you on the basis of $100 per day for each day that the filing is tardy up to a maximum of $1,000 per year – they would likely also cease trade you until you filed and paid the fine"-

As you can see a thousand dollars a year is not that onerous. A CEO could simply not file and you wouldn't even know it. I'm certain most do and Frank is certainly a man beyond reproach, so no fear there. What I'm trying to say is that everyone needs money at different times........ and if you think about having to file documents and have everyone question why you are trying to take care of your family and live your life.......would YOU file?

There is a company called C:BAJ They are in a battle with thier largest shareholder. That shareholder went past the 10% rule as an insider and didn't file one single trade until they reached 19.9%....... or the amount where you need to file as a hostile takeover. This took almost a year.....with no filing.

Total fines to date........$0.00
