Description

Patagonia Gold is a mining explorer. It holds permits or options to purchase property in the Patagonian region of Argentina and Chile across an area of over 7,000 square kilometres. The company is exploring principally for gold and silver.
Major shareholders include Carlos Miguens, the Argentinean industrialist and Barrick Gold, the worldís largest gold miner. The company is led by Chairman, Sir John Craven, who is recently retired as Chairman of Lonmin, and Chief Executive Officer, Bill Humphries, the co-founder of the successful mining explorer, Brancote Holdings. He is also Chairman of Landore Resources, which is also an AIM listed mineral explorer.

Company Statement:

Patagonia Gold Plc is a precious metals exploration company with a focus in South America. Management is based in both Argentina (Buenos Aires) and London. The principle exploration office is in Esquel but regional exploration bases in Santa Cruz, San Juan and a new Field base near Perito Moreno are used for field operations.

The Company, formerly named HPD Exploration Plc, was originally incorporated in 2000. It was a wholly owned subsidiary of Brancote Holdings Plc in order to hold exploration projects other than the Esquel Gold Project in Argentina. Brancote Holdings Plc proceeded to de-merge its subsidiary by way of an offer to shareholders and HPD traded on OFEX from January 2001, before changing its name to Patagonia Gold Plc and floating on AIM in March 2003. Brancote Holdings Plc was subsequently acquired by Meridian Gold Inc. in July 2002 for US$368 million.

The stated core focus of Patagonia Gold Plc is the discovery of ore bodies able to host multi million ounce gold deposits in the principle area of operation: South America.

Patagonia Gold Plc is focusing primarily on exploration in the Santa Cruz province of Argentina where it has a number of advanced exploration projects containing the potential for gold resources. The Company also holds advanced development properties in the Chubut province where exploration has currently been suspended for three years as a result of a government ban issued on July 2006.

GEOLOGY AND MINERAL DEPOSIT OF ARGENTINA

In simplest geological terms, Argentina occupies part of the South American platform in the north, the Patagonian platform in the south and the Andes mountains in the west.

The Precambrian-Paleozoic crystalline basement of Argentina comprises plutonic intrusives (granites to gabbros) and metamorphosed sedimentary and volcanic rocks that host a range of styles of mineralization that contain a variety of metals including nickel, copper, chromium, platinum group metals, tungsten, tin, silver and gold deposits and showings.

The crystalline basement is overlain by Paleozoic to Cenozoic continental and marine sedimentary rocks that also host a range of mineral deposits and showings containing a variety of metals including lead, zinc, silver, copper, uranium and vanadium.

Volcanic-intrusive activity during late Paleozoic and Mesozoic times generated porphyry copper and high sulphidation epithermal gold-silver deposits in the Andes as well as epithermal gold-silver and polymetallic mineralization in Patagonia. Important sediment-hosted uranium deposits also formed in Patagonia in the Mesozoic.

Argentina boasts several “world class” mineral deposits including porphyry copper-molybdenum-gold (Bajo de la Alumbrera), high sulphidation epithermal gold-silver (Veladero, (Pascua-)Lama), low sulphidation epithermal gold-silver (Cerro Vanguardia, Esquel) and lead-silver (Navidad), as well as important deposits of uranium and numerous smaller deposits containing a variety of metals.

PATAGONIA

Argentine Patagonia contains several distinct geological terrains that host both precious and base metal deposits of varying ages. The west margin of Argentinian Patagonia and adjacent Chile are part of the Andean mountain chain where subduction since Jurassic time has generated a series of volcanic-intrusive magmatic pulses with associated epithermal gold-silver and sub-volcanic porphyry copper-gold deposits. East of the Andean mountain chain Argentine Patagonia is characterised by two volcanic massifs, the Somuncura massif in the north and the Deseado Massif in the south.

Mineral deposits in Argentine Patagonia include Anglo Gold's Cerro Vanguardia deposit (end 2004 reserves 0.6 Mt proven, grading 9.99g/t gold, 6.2 Mt ore probable grading 6.87 g/t gold, and measured, indicated and inferred resource 11 Mt grading 8.01 g/t gold) and Meridian's Esquel (Desquite) deposit (3.8Moz gold at 8.0 g/t and 6.4 M/oz silver).

Patagonia Gold's exploration programme is focused on discovery of low-sulphidation epithermal gold deposits, while recognising the potential for discovery of high sulphidation epithermal deposits and even porphyry coppers and skarns.

Board of Directors

Sir John Craven (Non-Executive Chairman) joined the Board in 2004. Sir John is Non-Executive Chairman of Lonmin plc, a FTSE 100 company that is one of the three largest producers of platinum group metals in the world, and was formerly Chairman of Morgan Grenfell plc, a member of the Board of Managing Directors of the Deutsche Bank Group and a Director of a number of other companies.

Carlos J Miguens (Non-Executive Deputy Chairman) has extensive business experience in Latin America. He was President for 11 years of Cerveceria & Malteria Quilmes, one of Argentina's largest brewing companies, until its sale to Ambev. He is the Vice President of Central Puerto SA and Hidroelectrica Piedra del Aguila SA, two of the main utilities companies in Argentina. He is also a Director of a number of other companies and has been a Director of Patagonia Gold SA since its inception.

William H Humphries (Managing Director) has been a Director of the Company since its inception and has over 35 years' experience in the mining and civil engineering industries. From 1996 to 1998 Bill was General Manager of Sardinia Gold Mining SpA and from January 1999 he was Managing Director of Brancote Holdings PLC until its acquisition by Meridian Gold Inc in 2002. He is Chairman of Landore Resources Limited.

Gonzalo Tanoira (Finance Director) has been a Director of Patagonia Gold SA since its inception. He is a Director and member of the audit committee of SA San Miguel and Central Puerto SA and a Director of Hidroelectrica Piedra del Aguila SA. He is also a Director of a number of other companies. Previously, Gonzalo worked for Bear Stearns & Co. (New York) in its investment banking division for Latin America. He was also an associate at Booz Allen & Hamilton in its Buenos Aires office. Gonzalo holds an MBA from the Wharton School of the University of Pennsylvania.

Richard Ö Prickett (Non-Executive Director) is a chartered accountant and has many years' experience in corporate finance. Richard was Chairman of Brancote Holdings PLC from 1995 until its acquisition by Meridian Gold Inc. in July 2002. He was Chairman of the Company since its inception until June 2004. He is a Director of Landore Resources Limited, and a Non-Executive Director of The Capital Pub Company PLC, Asian Growth Properties Limited and City Natural Resources High Yield Trust PLC and non-executive Chairman of the Lewis Charles Romanian Property Fund Ltd.

Marc J Sale (Non-Executive Director) is a Fellow of the Australian Institute of Mining and Metallurgy and the Australian Institute of Geoscientists with over 25 years' experience with mineral exploration and development companies. He managed the operations of the Company from May 2002 to June 2005 and, prior to joining the Company, was Project Manager for Brancote Holdings PLC's Esquel Gold and Silver Project in Argentina.
