The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Oct. 12, 2010.

Convertible debenture: $2.5-million

Conversion price: convertible into units consisting of one common share and one-half of one common share purchase warrant at six cents of principal outstanding

Maturity date: 18 months from date of advance
