The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Aug. 25, 2010.

Number of shares: 2.5 million flow-through shares and 10,438,000 non-flow-through shares

Purchase price: Seven cents per flow-through share and five cents per non-flow-through share

Warrants: 12,938,000 share purchase warrants to purchase 12,938,000 shares

Warrant exercise price: 10 cents for a two-year period

Hidden placees: 30 hidden placees

Finders' fees: A total of $18,600, plus 558,000 shares and 558,000 warrants (Each warrant is exercisable into a common share for a period of two years at a price of 10 cents.), payable to Larry Hoover and Hampton Securities
