The presentation Pro-forma chart (slide 22) displays that post-closing the new entity will had 252 shares outstanding....

What it DOES NOT  show is the additional 50 million shares  (approz 20%) that would be added should the existing SZM warrants be exercised. 

Fanacamp also has a smaller number of warrants  (approx 13 million) that could be exercised 

Given that they are priced below the expected transaction/takeover SP (and currently depressed SP of FNC) they are likely to be exercised ..
