For those who have not received their proxies, this is not the fault of the company since they are distributed by Computershare (their transfer agent) according to your instructions at your broker. You may not have received a proxy if the instructions are set up as such at your brokers (although I believe FNC is doing a direct mailing now because of the dissidents but I have not phoned them to confirm). For example, I specifically instruct my brokers not to send me paper - and some brokers will then automatically vote my shares in favor of management, BUT not all brokers do this, one of my accounts doesn't, so in this case you may need to phone to get the control number to vote, like I did.

If you would like to vote your shares (management or otherwise) and do not have your proxy yet, you can phone the company's transfer agent at 1 800 564 6253 (toll free in Canada and the United States) between the hours of 8:30 a.m. and 8:00 p.m. Eastern Time.

They should be able to, in most cases, look up your control number for your individual proxy, which you can then vote.

Then, you can vote by phoning 1-866-734-8683 or online at www.investorvote.com
