Number of shares: 12,546,966 flow-through shares and one million non-flow-through shares

Purchase price: 41.5 cents per flow-through share and 32 cents per non-flow-through share

Warrants: 7,273,483 share purchase warrants to purchase 7,273,483 non-flow-through shares

Warrant exercise price: 50 cents for an 18-month period

Number of placees: 46 placees

Insiders: Peter H. Smith 50,000 FT, Pathway Quebec Mining 2011 Flow-Through LP 4,337,350 FT, MineralFields Quebec 2011 Super Flow-Through LP 1,686,747 FT, MineralFields 2011-VI Super Flow-Through LP 1,204,819 FT

Pro group participation: Jean-Francois Brossard 50,000 FT, Bruno Desmarais 120,000 FT, Isabelle Boulet 12,000 FT, Jean-Yves Bourgeois 70,000 FT

Agents' fees: Secutor Capital Management Corporation received $89,728.00 and two compensation options to acquire up to 260,930 shares (exercisable for 230,930 shares at 41.5 cents per share and 30,000 shares at 32 cents per share for 18 months from the date of issuance).
