The TSX Venture Exchange has accepted for filing documentation with respect to a brokered private placement announced Feb. 7, 2011, and March 14, 2011:

Number of shares: 1,465,667 non-flow-through shares, 10,135,946 flow-through shares

Purchase price: 75 cents per non-flow-through share, 80 cents per flow-through share

Warrants: 732,833 share purchase warrants to purchase 732,833 shares

Warrant exercise price: 90 cents for a two-year period

Number of placees: 59 placees

Pro group participation: Alberto Galeone 50,000, David Jones 40,000

Agent's fee: $176,729.07 cash, *40,470 agent's options and **268,453 agent's options payable to Secutor Capital Management Corp.; $198,221.30 cash, *40,470 agent's options and **268,453 agent's options payable to Industrial Alliance Securities Inc.; $77,812.49 cash *7,000 agent's options and **71,250 agent's options payable to Limited Market Dealer Inc.
