- Conflict of interest for Mr Sheridan & Mr Lamarque: Since both of them were/are in clear conflict, why did they accept membership on the Independent Committee? [Sheridan's law firm is CMM's legal agent, and Lamarque is a nominee of Scola/Finskiy on CMM's BoD] Are members of the present BoD prepared to resign if the regulators or the courts will stop the merger?
- Conflict for Mr Major: Since Mr Major was offered the CEO position after the possible merger, why did he not resign from CMM right at the time of the announcement of the proposed business combination? [He can't possibly run CMM in the interest of ALL shareholders.] Is he prepared to resign if the regulators stop the merger?
