It sounds like a dissenting vote will not be practical for most s/h as they will lose control of their shares, not be able to vote and will not be able to keep their shares. So it is really up to a vote I think. As I understand it and correct me if I'm wrong we are left with 2 scenarios;

1. 2/3 vote majority

2. 50%+1 of minority vote.

questions;

If Finisky owns 45% that's 182,250,000 shares he only needs 90,000,000 shares to get to 2/3 majority. Can he get them?

What is considered a minority s/h for the 50%+1 and how many shares would fall into this category?

How many shares do we need to kill this deal? Seems like 73,000,000 isn't enough.

Is it possible some large s/h could get a side deal to vote for the merger?
