Number of shares: 2,196,763 flow-through shares

Purchase price: 47.5 cents per flow-through share

Warrants: 1,098,382 share purchase warrants to purchase 1,098,382 shares

Warrant exercise price: 55 cents for a one-year period

Number of placees: 12 placees

Pro group participation: Alberto Galeone, 60,000; Frederic Martin, 217,514

Agent's fee: $73,042.37 payable to Industrial Alliance Securities Inc.
