In the agreement it states once the A&F is executed then they negotiate. Not sure when they say "executed" if that includes the shareholder vote but I would imagine it would because that is the approval for the A&F IMO.

Precisely. If I was a lawyer for KRY I would insist on a "letter of intent" regarding permit approval from Venezuela to the ratified joint venture (i.e. subject to shareholder approval) for the benefit of KRY shareholders prior to the vote...
