I know it's easy to go to the financing / dilution sections of the agreement olso the timetables and gloss over the rest.

I thought this was worth mentioning: The term "Good Faith" is mentioned four times in respect to how business will be conducted. This seems like a good thing.

What I find interesting:

3(a)(iv)- Kry management control of CR voting rights.

A voting rights agreement whereby CRRC shall agree, for a period of three years following the closing of the transactions .......

Minimizing the lingering effects to the SP done by note facility and equity participation- glazing thru covenant section............

Interest on the Note Facility shall accrue at the rate of 6.5% vs 9.375%

Crystallex will also provide a negative pledge not to incur any additional debt.

CRRC shall have the option at any time to convert all or any portion of the Note Facility into common shares of Crystallex, the conversion option shall be exercisable once.

3(b)- How to negotiate.

Immediately upon execution of this Agreement, Crystallex and CRRC shall diligently proceed to negotiate with the applicable Venezuelan governmental authorities for the issuance of the Environmental Permit and the transfer of the MOC from Crystallex to the Joint Venture. The parties shall keep each other apprised on a timely basis of the progress of negotiations......

Question: Does this mean they are negotiating seperately with Venezuela to form this partnership? I find that to be an interesting approach.

Public Announcements in section 8

Neither party shall make any public announcement regarding this Agreement or the Transactions contemplated by this Agreement without providing an opportunity to the other party, acting reasonably, to review and comment on such announcement or press release.

imho- (funny) These Crystallex guys have not taked since the "soon after Easter' thing so I do not expect to hear anything except for a prepared (joint-kry/cr) statement at the AGM.

In summation: The more I read this proposal /agreement the more I like it.
