I understand what you are getting at, but what is coming down is the fully diluted share count (i.e., fully diluted is the "what-if" scenario where all options and warrants are exercised). The 10% that an individual can accumulate before announcing the position is 10% of the non-diluted (actual) share count. So in this situation a reduction of fully diluted share count does not put an undeclared 9.9% position "off-side" so-to-speak.
