I think there is some confusion here.

Sales of Assets

If CUU sell assets then they decide how much gets distributed by way of dividend to existing shareholders. They would be able to retain some working capital in this situation.

Sale of Shares

If CUU shares get purchased then shareholders get whatever that value per share is and CUU 2 would have to raise capital for operations as there would be no residual.
