Can Ernesto not trade his shares on open market if he wanted to?

On my brokerage site ,rbc direct investing, it shows for CUU 1)shares outstanding 397 million.2)# of floating shares 156 million.When I called rbc to ask,they said only floating shares are traded.If Ernesto owns 221 million,and Mcdonald 12 million they appear to have some restrictions on their shares???
