Yup. It shore duz.

9.1 says Upon earning an interest a jv is formed.

15.1 says upon getting an executed copy of the agreement and no more than 60 days after FS they have to make a jv agreement.

This implies making the agreement 60 days after FS whereas they have 120 days to opt. See the conflict?
