This is just secondary, but as an example, Just negotiating a Spinco can be very complicated.

* How can you negotiate a spinco when the same geo data on Schaft Creek is pretty much everywhere.

* Who get's to be on the board of directors (Teck people or CUU people, or both)

* What are the new terms of the new agreement

See..this is just 1 small parcel of the massive negotiations that must be going on.
