They (Teck) or anyone else could make a TO offer at any time.

Right, so if they take the 120 days to negotiate a price to buy out CUU they could hold off offers from outsiders, maybe, because of the uncertainty of the earn-back. They should also be able to buy the shares of CUU and nullify the agreement completely.
