I think thet only get 4.75% on the debentures. The $5.00 is an option price, basically they have to pay CLL $5.00 per share. If they were/are short they have an option to cover their shorts at $5.00. Make sense for a shorter to buy the debentures with short money, doesn't make sense to not take advantage of a $3ish SP.
