if they are far enough under the 50.1% figure

they may back away given the following:

1) the comments their Kingsdale people got over the phone, and

2) looking at all the level 2 shares for sale and at what price

they know if they failed this badly with $8.20

they know we're not budging for $10.20

and to get your head handed to you twice.....not good
