Yes..this is the EXACT and ONLY situation where a poison pill can be invoked. When a stock has had a dramactic drop in price for whatever reason, a suitor cannot simply come along and buy it up. On a ongoing basis (not this particular ARU situation), a poison pill cannot be invoked if someone offers above the normal active market price. For example, if two weeks ago someone offered $10, the pill could not be invoked.
