PRIVATE PLACEMENT OF $507,100

Mexivada Mining Corp. has agreed to a private placement of 922,000 units at a price of 55 cents per unit for gross proceeds of $507,100. Each unit will comprise one common share and one share purchase warrant, with each warrant entitling the holder to purchase an additional share at an exercise of 75 cents per share for a period of 18 months from the date of issue. A finder's fee will be payable on a portion of this placement, which is subject to acceptance for filing by the TSX Venture Exchange.
